Lockheed Martin to Acquire Ultra Maritime for $3.45 Billion

Undersea superiority belongs to those who move fastest and work together best, said Stephanie C. Hill, president of Lockheed Martin Rotary and Mission Systems, as the defense giant announced a definitive agreement to acquire Ultra Maritime for $3.45 billion to bolster its anti-submarine warfare capabilities.

The deal integrates Ultra Maritime’s portfolio—including sonar arrays, sonobuoys, and autonomous maritime sensing platforms—directly into Lockheed Martin’s Rotary and Mission Systems division. This acquisition aims to address rising global demand for advanced undersea defense technologies among U.S. and allied naval forces. Ultra Maritime, previously backed by Advent International since 2022, has undergone significant industrial expansion over the last four years to modernize its manufacturing capacity and sonar product lines.

Lockheed Martin expects the integration to broaden its reach in international markets, leveraging Ultra Maritime’s established export channels. Financial oversight for the transaction involves Citi serving as the primary financial advisor, with Hogan Lovells and Fried Frank providing legal and tax counsel respectively. The move signals a strategic pivot to secure dominance in underwater surveillance and torpedo defense systems as maritime threats evolve globally.
