Replenish Nutrients Secures $15M for Fivefold Capacity Expansion

A $15 million strategic investment from SRC Agrominerals is set to transform Replenish Nutrients by adding 150,000 tonnes of owned annual capacity. The deal, which includes a ten-year supply agreement for Spanish River Carbonatite, shifts the company’s business model toward industrial-scale production while retaining its existing licensing partnerships.

The capital injection funds a new pelletizing facility at the Beiseker property, scheduled for completion in early 2028. This expansion lifts Replenish’s owned capacity from 36,000 to 186,000 tonnes per year, effectively inverting the company’s production mix from a majority-licensed model to one dominated by owned assets. By securing a decade-long supply of carbonatite, the company mitigates its primary operational risk while gaining access to organic-certified product channels.

Market reaction to the deal has centered on the pricing of the 50 million units issued at $0.15, a modest discount to the pre-announcement trading price. However, the structure of the investment suggests long-term alignment rather than short-term gain. With warrants and debentures convertible at $0.225—a significant premium to the stock's recent levels—SRC is positioned to benefit only if the company’s valuation climbs. The appointment of former Ag Growth International CEO Tim Close and project expert Dr. David Morris to the board further signals a shift toward rigorous capital allocation and construction execution as the company moves into its industrial phase.
