However, plaintiffs contend that management was aware of rising churn in the downmarket segment and a shift toward internal, customer-built AI solutions that directly threatened ZoomInfo’s legacy subscription model.

The facade crumbled on May 11, 2026, when the company issued a sobering earnings update. Shares plummeted from $6.04 to $4.06 the following day—a 33% drop—as the market reacted to the company’s slashed full-year 2026 guidance. The litigation asserts that this decline was not the result of sudden market volatility, but rather a corrective disclosure that exposed years of misleading growth projections. Joseph E.
