The lawsuit, representing investors who purchased GeneDx securities between April 16, 2025, and May 4, 2026, centers on the market's reaction to the company's Q1 2026 results. Shares plummeted from $67.93 to $34.51 after the firm reported a $31.2 million impairment loss tied to its Fabric Genomics purchase and a $65 million reduction in full-year revenue guidance.
GeneDx Shareholders File Class Action Following 49% Stock Collapse
A class action lawsuit has been filed against GeneDx Holdings Corp. after a May 2026 earnings disclosure triggered a 49% stock drop. The litigation alleges that the company artificially inflated its value by concealing material problems regarding the Fabric Genomics acquisition and declining reimbursement rates for its testing services.

Legal counsel for the plaintiffs, Joseph E. Levi, argues that the company’s previous growth narrative lacked a factual basis. Beyond the impairment charge, the complaint highlights a decline in blended average reimbursement rates to $3,300 and a contraction in adjusted gross margins from 74% to 69%. Furthermore, management admitted the Fabric platform was limited to international markets, contrary to earlier claims of broader utility. Investors seeking to serve as lead plaintiff must file by August 3, 2026.
