The New York-based law firm Halper Sadeh LLC has opened investigations into the proposed mergers of Twin Vee PowerCats, NextCure, TriCo Bancshares, and First Hawaiian, signaling potential concerns over fiduciary duties and the adequacy of financial compensation offered to ordinary shareholders during these transitions.

The firm is scrutinizing whether these transactions unfairly favor insiders while placing restrictive terms on the potential for superior competing offers. For Twin Vee PowerCats (VEEE), the probe centers on its merger with USFM Corporation. Similarly, NextCure (NXTC) faces investigation regarding its deal with Avere Therapeutics, a transaction that would leave existing shareholders with approximately 1.21% of the combined entity.

Legal oversight also extends to the deal between TriCo Bancshares (TCBK) and First Hawaiian (FHB). Under the current terms, TriCo shareholders are slated to receive 2.095 First Hawaiian shares for each unit held, resulting in a 35% stake in the newly combined firm, while First Hawaiian shareholders would retain 65%. Halper Sadeh attorneys are evaluating whether these agreements violate federal securities laws, with the intent to pursue increased consideration or improved disclosures on behalf of the investor groups involved.
