The complaint filed by Robbins LLP alleges that executives at Badger Meter misled shareholders by attributing financial performance to durable secular growth and robust demand. While leadership touted a strong bid pipeline and favorable industry trends, the suit claims these results were artificially bolstered by accelerating future orders to hide deteriorating market conditions.
The facade began to crack through a series of quarterly disclosures between July 2025 and April 2026. The final blow arrived on April 17, 2026, when the company revealed a 9% year-over-year drop in total sales and a significant contraction in operating margins, which fell to 17.4% from 22.2% the previous year. Following the news, shares plummeted from $152.29 to $115.54, wiping out over 24% of the stock's value in a single session.
