The litigation centers on allegations that the company misled shareholders regarding the impact of new age-verification safety measures on its platform's growth and business health.

The legal action, led by the firm Hagens Berman, covers individuals who purchased Roblox common stock between October 31, 2024, and April 30, 2026. Plaintiffs allege that while management publicly touted safety as a paramount commitment, the company failed to disclose the adverse business consequences of its age-check verification rollout, which began in November 2025.

Financial strain became apparent to the market in two significant waves. On October 30, 2025, the stock price dropped 16%, erasing $13 billion in market value after the company announced global age-verification plans. By April 30, 2026, the company confirmed a sharp deceleration in daily active user growth and significantly reduced its 2026 revenue and bookings guidance. Roblox management acknowledged that the age-check process introduced friction, leading to lower app store ratings and a decline in organic sign-ups. Reed Kathrein, the partner leading the investigation, stated the firm is now focusing on when management became aware of these consequences and whether investors were intentionally misled.
