The complaint alleges that Hub Group failed to accurately report purchased transportation costs and accounts payable, resulting in a $77 million accounting error for 2025. These reporting failures, combined with allegations of premature revenue recognition, rendered the company’s annual reports for 2023 and 2024 materially misstated. Despite public assurances regarding the integrity of its internal controls, the firm purportedly maintained inadequate oversight mechanisms throughout the class period.
The market’s confidence in the logistics provider collapsed following two major corrective disclosures. In February 2026, the company admitted that its financial statements for the first three quarters of 2025 were unreliable, triggering an 18% slide in share price. A subsequent announcement in May 2026 revealed that annual reports from 2023 and 2024 were also flawed, causing a further 13% decline and the departure of both the Chief Financial Officer and the Chief Operating Officer.
