By folding these operations into its existing logistics and retail framework, Farmmi seeks to bridge South American agricultural producers with broader international markets. The final acquisition price remains subject to a fair valuation conducted by an independent firm, with payment expected to be settled through the issuance of Farmmi Class A ordinary shares.
Farmmi Eyes Brazil Expansion With Four Seasons Holding Acquisition
China-based Farmmi, Inc. has signed a framework agreement to acquire 100% of Four Seasons Holding Group Brazil Ltda., a move aimed at anchoring the Nasdaq-listed firm within the South American agricultural supply chain. The deal marks a strategic push to diversify beyond its traditional mushroom supply business.

CEO Yefang Zhang emphasized that the acquisition is a calculated step toward strengthening the company’s global trade network. Farmmi, which was established in 1998 and primarily known for its edible mushroom products, currently maintains 41,434,077 outstanding Class A shares. Both parties are now moving into the due diligence phase to finalize the definitive terms of the transaction.
