The proposed reorganization will see the newly formed Versa Bancorp become the direct parent company for both VersaBank and VersaBank USA National Association. According to David Taylor, the bank’s founder and president, this regulatory clearance represents the final mandatory step before shareholders convene on September 16 at the bank’s London, Ontario headquarters to formally approve the realignment.
VersaBank Secures SEC Approval for US Corporate Reorganization
The U.S. Securities and Exchange Commission has declared VersaBank’s Form S-4 registration statement effective, clearing a critical hurdle for the lender’s transition to a standard U.S. bank framework. This structural shift, which establishes a new Delaware-based holding company, now moves to a final shareholder vote scheduled for mid-September.

While the SEC has signed off on the filing, the transition remains subject to broader regulatory scrutiny, including pending authorizations from the Canadian Minister of Finance and the U.S. Federal Reserve. The bank has advised shareholders of record as of August 10 to review the upcoming management information circular and prospectus, which detail the mechanics of the shift and the future role of Versa Bancorp as the primary publicly traded entity.
