Solventum to Spin Off Health Information Systems Unit

Solventum plans to carve out its Health Information Systems business, a move designed to sharpen the company’s focus on its core MedTech operations. By decoupling the $1.4 billion software division, the firm aims to create two distinct entities better positioned to pursue independent growth and capital allocation strategies.

The proposed separation marks a significant pivot in Solventum’s three-phase transformation strategy. CEO Bryan Hanson noted that the move is intended to provide the software unit with the agility required to navigate a $10 billion market, while allowing the remaining Solventum structure to concentrate on its MedSurg and Dental Solutions portfolios. The Health Information Systems unit currently serves over 75% of U.S. hospitals, processing roughly 660 million clinical documents every month.

Management is evaluating various separation pathways, including a potential independent public listing or a merger with another industry player. While the company has set a target completion window of 12 to 18 months, officials cautioned that no final structure has been decided and the process remains subject to board and regulatory approvals. Morgan Stanley and Goldman Sachs are serving as financial advisors to the company during this transition.
