With the August 20 special meeting approaching, LivePerson’s board of directors is pushing shareholders to support its acquisition by SoundHound AI. The company warns that failing to cast a vote will be counted as a vote against the merger, potentially leaving investors with no value should the deal collapse.

The board and the independent advisory firm Glass Lewis maintain that the acquisition offers a necessary exit for shareholders. Under the proposed terms, most investors would receive SoundHound stock valued at approximately $3.33 per share—a 22% premium over the 30-day average price calculated prior to the April 21 announcement. The company argues that joining forces with SoundHound provides an accelerated path to profitability and a stronger, debt-free balance sheet.

Conversely, LivePerson paints a stark picture for those who choose to remain independent. The company faces persistent commercial headwinds, a significant debt burden, and limited access to capital markets. Management cautioned that a rejection of the deal could lead to a delisting from the Nasdaq and potential reorganization, which would likely result in shareholders receiving nothing for their equity. Because the merger requires approval from a majority of all outstanding shares, the company is emphasizing that inaction is functionally equivalent to opposition.
