Ardagh Holdings S.A. has signaled a potential exit from its metal packaging business, instructing advisers to explore a sale of Ardagh Metal Packaging S.A. The controlling shareholder filed an amendment to its Schedule 13D with the SEC, outlining plans that could involve a full buyout of minority shareholders to facilitate the divestment.

The board of directors at Ardagh Holdings has tapped Evercore International Partners LLP as financial adviser and Kirkland & Ellis International LLP as lead legal counsel to navigate the process. While the company is weighing options—including the acquisition of outstanding shares not already under its control to streamline a sale to a third party—no definitive timeline or counterparty has been established. The parent firm maintains that it will not provide further updates until its board approves a specific course of action.

A transition would necessitate significant structural shifts, particularly regarding shared corporate services. Ardagh Metal Packaging currently relies on AGSA, a subsidiary of the parent group, for administrative and operational support. Should a transaction proceed, the existing services agreement is expected to be terminated. The company estimates that establishing these functions on a standalone basis would result in approximately $30 million in incremental annual costs. Ardagh Metal Packaging, which operates 23 facilities globally, reported $5.5 billion in sales for 2025.
