Nagarro Board Backs Persistent Systems Takeover Bid

Nagarro’s leadership has officially recommended that shareholders accept a voluntary public takeover offer from Persistent Systems, deeming the cash bid of EUR 81.00 per share both fair and adequate. The offer marks a significant premium for investors as the company prepares to transition into a private entity.

Nagarro Board Backs Persistent Systems Takeover Bid

The Management and Supervisory boards of Nagarro SE released a joint statement endorsing the bid from Galaxy Germany Holding SE, an entity controlled by the Indian firm Persistent Systems. The offer price represents a 140 percent premium over the company’s closing stock price on June 25, 2026, the day before the acquisition plans were disclosed. Beyond the immediate financial windfall for shareholders, the boards emphasized that the partnership aligns with Nagarro’s long-term strategy to accelerate growth and digital transformation.

Manas Human, CEO of Nagarro, stated that the deal serves the best interests of stakeholders by providing an attractive valuation while supporting the company’s existing business model and workforce. The acceptance period remains open until September 17, 2026. Closing is expected between late 2026 and early 2027, contingent on regulatory approvals and a minimum 50 percent plus one share acceptance threshold. Following the settlement, the bidder intends to pursue a delisting of Nagarro shares from the Frankfurt Stock Exchange.
