The litigation, filed in the U.S. District Court for the District of New Jersey, centers on allegations that Embecta repeatedly described its core pen needle portfolio as resilient while allegedly ignoring significant competitive losses and retail market weakness. According to the complaint, these claims persisted throughout the class period, even as the company maintained positive financial guidance.

The discrepancy surfaced on May 5, 2026, when Embecta reported its second-quarter fiscal 2026 results. The company revealed a sharp revenue decline and subsequently cut its full-year 2026 adjusted earnings per share guidance by roughly 43%. Additionally, the firm slashed its quarterly dividend by 93%, reducing the payout from $0.15 to $0.01 per share. Investors reacted sharply to the news, driving the stock price down 57.8% in a single trading session.

Reed Kathrein, the Hagens Berman partner heading the investigation, suggests the company's prior assurances were fundamentally at odds with the internal reality of its market volume. Hagens Berman is currently accepting reports from investors who held shares during the period and is also inviting whistleblowers with non-public information to assist in the ongoing probe.
