Berger Montague Files Securities Fraud Class Action Against EquipmentShare

A 34.5% decline from the January IPO price has triggered a class action lawsuit against EquipmentShare.com Inc. Plaintiffs allege the Columbia-based company misled investors by concealing significant related-party transactions involving entities controlled by its co-founders during the early months of 2026.

Berger Montague Files Securities Fraud Class Action Against EquipmentShare

The legal action, filed by Philadelphia-based firm Berger Montague, covers investors who purchased EquipmentShare securities between January 19 and June 23, 2026. The complaint centers on claims that the construction solutions provider failed to disclose financial arrangements linked to its leadership. These allegations surfaced on June 24, 2026, when Umibozu Research published a report detailing how the company reportedly funneled substantial payments through undisclosed founder-affiliated entities.

Market reaction to the report was immediate. EquipmentShare stock dropped 6.6% on June 24, followed by an 11.7% decline the next day. Investors seeking to serve as lead plaintiff in the class action must file their applications by September 21, 2026. The litigation highlights concerns regarding transparency surrounding the company's 'OWN' program and other related-party dealings that were absent from the firm's January IPO disclosures.
