The complaint, filed by the law firm Bronstein, Gewirtz & Grossman, LLC, covers investors who purchased securities between October 24, 2024, and August 8, 2026. Plaintiffs allege that the company failed to disclose the departure of key personnel essential for the OWYN integration, resulting in an inefficient organizational structure and bloated administrative expenses. These internal struggles were reportedly compounded by significant product quality issues stemming from a new pea protein supplier, which damaged the brand’s reputation and eroded consumer sales.
Simply Good Foods Faces Class Action Lawsuit Over OWYN Acquisition
A class action lawsuit has been filed against The Simply Good Foods Company, alleging that the firm misled investors regarding the integration of its Only What You Need, Inc. (OWYN) acquisition. The suit claims the company concealed critical management losses, product quality defects, and failing financial strategies throughout the two-year period.

According to the allegations, Simply Good Foods attempted to mask these failures by increasing promotional discounts, a strategy that ultimately depressed margins without driving the intended growth. When these measures failed, the company allegedly cut brand support and marketing, further undermining the acquisition's economic rationale. Investors who suffered losses have until October 13, 2026, to apply for lead plaintiff status. Bronstein, Gewirtz & Grossman, LLC, which operates on a contingency fee basis, is handling the case, with founding partner Peretz Bronstein emphasizing the firm's focus on corporate accountability.
