According to the court filings, Pentair executives allegedly failed to disclose significant inventory reductions within the Pool channel. This omission, the suit contends, caused the company’s public statements about its business health and financial prospects to lack a factual basis.

Plaintiffs argue that the undisclosed destocking directly eroded sales and operating income, leaving investors unaware of the true financial risks during that period. Those who purchased shares and suffered losses are not required to take immediate action to remain part of the class, though they retain the right to seek independent counsel or apply for a leadership role in the litigation before the firm's established deadline.
