According to the complaint, these incentives encouraged bulk orders that far exceeded actual procedure demand, resulting in an estimated surplus of more than 10,000 excess units by the end of the class period. The lawsuit alleges these practices allowed the company to artificially bolster revenue figures while obscuring the true state of its operational performance.

Financial instability came to light through a series of quarterly earnings reports. Following the disclosure on February 25, 2026, that handpiece sales had consistently outpaced procedures, PROCEPT stock dropped from $27.84 to $22.69 over two trading days. By July 22, 2026, shares had fallen further to under $18. The company subsequently moved to eliminate the discount program, a shift that executives acknowledged negatively impacted overall sales performance.
