GoPro to Merge with Starman Optical in $285 Million Deal
GoPro has reached a definitive agreement to merge with private optical-photonics firm Starman Optical, a move aimed at pivoting the camera maker toward AI infrastructure and defense markets. The transaction includes a $285 million cash payout to shareholders and a plan to eliminate the company's $92 million debt load.

Under the terms of the agreement, shareholders will receive $1.14 per share and retain roughly 10% ownership in the combined entity. Company leadership views the partnership as a way to capitalize on the rising demand for U.S.-made critical components in AI data centers. The transaction has secured approval from the boards of both companies and is expected to finalize by the end of 2026, pending regulatory and stockholder clearance.
