The new entity, to be named Multiconsult Rejlers, will be dual-listed on Nasdaq Stockholm and Euronext Oslo Børs. Under the terms of the deal, Multiconsult shareholders will receive 0.9725 Rejlers class B shares for each share held, resulting in a 54% ownership stake for the former and 46% for the latter. The merger is expected to unlock annual cost synergies of SEK 100-120 million within three years, primarily through the integration of IT, procurement, and administrative functions.
Viktor Svensson, currently President and CEO of Rejlers, will lead the combined organization as CEO, with Kristin O. Augestad serving as Deputy CEO. While the group will maintain its headquarters in Stockholm, it will retain a significant operational base in Oslo. Both companies intend to preserve their existing local brands and leadership structures to maintain regional continuity. The boards of both firms have unanimously recommended the merger, citing the strategic advantage of scaling operations to better compete for large-scale, complex Nordic infrastructure and energy projects.
