The legal action centers on a partnership with VFG Holdings, which management touted as a major expansion of its data center backlog. While Hyliion representatives pointed to a potential $400 million in revenue tied to signed letters of intent during earnings calls, a research report from Pelican Way Research later revealed that VFG had been incorporated only months prior. The firm allegedly maintained a minimal staff of four employees, a sparse web presence, and no verifiable funding history.
Hyliion Faces Securities Lawsuit Over Disputed Pipeline Claims
A federal securities class action has been filed against Hyliion Holdings Corp. following a 33% collapse in share price. The lawsuit alleges the company misled investors by inflating its commercial pipeline with a questionable letter of intent from a newly formed, understaffed entity, causing significant losses for shareholders between May and June 2026.

Following the disclosure, Hyliion stock plummeted from a closing price of $7.37 on June 22, 2026, to $4.92 two sessions later. The complaint filed in the U.S. District Court for the Western District of Texas contends that approximately one-third of the company’s disclosed pipeline relied on this non-binding agreement. Lead plaintiff motions are due by October 27, 2026, as investors seek to recover losses incurred during the period when the company’s commercial claims were allegedly misrepresented.
