Brand Engagement Network (NASDAQ: BNAI) has filed a Form 8-K/A with the SEC, pulling back the curtain on the financials of Cataneo GmbH. The disclosure follows the June acquisition of the Munich-based media infrastructure provider, offering investors a detailed look at the asset’s cash flow and revenue trajectory.

Cataneo’s performance metrics reveal a company in a sharp growth phase. Operating cash flow surged to $1.85 million in fiscal 2025, more than doubling the $848,000 recorded the previous year. Operating income followed a similar path, climbing to $726,065 on $9.6 million in revenue. Beyond these figures, the company’s contract liabilities—a proxy for future revenue—expanded by 19% to reach $4.5 million at the end of 2025.

CEO Tyler Luck highlighted the acquisition as a strategic move to secure recurring revenue streams and improve visibility into future earnings. Integration efforts are currently underway, with BEN targeting $900,000 in annualized cost synergies. The company is now working to embed its conversational AI platform into Cataneo’s MYDAS software, which currently manages advertising sales and traffic for over 1,000 media brands globally.

This technology pivot arrives as the connected TV advertising market experiences rapid expansion. Industry researcher Omdia expects this segment to reach $81 billion by 2030, nearly doubling from 2025 projections. BEN and Cataneo recently debuted joint conversational advertising tools at IBC2026, aiming to replace static commercials with real-time, AI-driven interactions for viewers.
