The legal action, led by Hagens Berman Sobol Shapiro LLP, now covers the period between March 11, 2025, and July 14, 2026. Plaintiffs allege that Pentair executives engaged in aggressive channel-loading practices to artificially inflate financial results, specifically within the company’s core Pool segment. These practices reportedly hid the reality that inventory was not moving through distribution channels, creating a false impression of the company's financial health.
The facade crumbled on July 14, 2026, when Pentair announced preliminary second-quarter results that missed revenue forecasts by over $200 million. The company revealed that Pool channel destocking had slashed sales by $170 million, prompting a dramatic reduction in full-year guidance. The market reacted sharply to these disclosures and the sudden resignation of Chief Financial Officer Nicholas Brazis after just four months on the job. Pentair shares fell 15% in a single session, closing at $64.33 on July 15, 2026.
