According to the complaint, the company issued statements that lacked a reasonable basis, specifically regarding a supposed transformative deal between its subsidiary, Accelsius, and an entity identified as DarkNX. The lawsuit alleges that no evidence existed to support the claim that DarkNX was building or facilitating large-scale AI data centers, rendering the deal unlikely to materialize.

Because of these undisclosed setbacks, the suit contends that Innventure’s internal revenue and cash flow projections for 2026 were fundamentally overstated. Shareholders impacted by these developments are encouraged to contact the firm by the late October deadline to discuss their legal standing.
