UWM Holdings Faces Class Action Lawsuit Over $603 Million Hedge Loss

A 34% single-day share price collapse has triggered a securities class action against UWM Holdings Corporation. The litigation centers on the company’s failed attempt to acquire Two Harbors Investment Corp., which allegedly left UWM exposed to a speculative $603 million hedging loss that management failed to disclose to investors.

The legal dispute focuses on the period between March 9 and August 5, 2026. According to the complaint, UWM entered into aggressive hedging transactions linked to Two Harbors’ mortgage servicing rights portfolio. When Two Harbors abandoned the merger in March 2026 in favor of a deal with CrossCountry Mortgage, UWM reportedly failed to unwind these positions. Instead, the hedges ballooned into a massive financial liability.

Investors remained largely unaware of the true extent of this exposure until August 6, 2026, when the firm disclosed a $451 million net loss and the $603 million hedging deficit. The fallout resulted in a 38% plunge in total equity and a subsequent recapitalization plan that significantly diluted shareholder value. Since the initial acquisition announcement in December 2025, UWM shares have plummeted approximately 75%. Reed Kathrein, a partner at Hagens Berman, stated the investigation is scrutinizing why management remained silent regarding these risks for months. Shareholders impacted by these events have until October 13, 2026, to file as lead plaintiffs.
