Cognex to Acquire RealSense in $500 Million Robotic Perception Push

Cognex Corporation is moving to capture a larger share of the burgeoning Physical AI sector by acquiring RealSense, a leader in 3D depth-sensing technology. The $500 million cash deal, slated to close in the fourth quarter of 2026, aims to integrate advanced robotic navigation into the buyer’s existing machine vision portfolio.

The acquisition marks a calculated shift for the Natick-based Cognex, which has long dominated industrial machine vision. By absorbing RealSense—originally an Intel spinoff—Cognex gains a proprietary platform designed to act as the "visual cortex" for autonomous mobile robots, quadrupeds, and humanoids. According to Cognex CEO Matt Moschner, the move provides a full-stack intelligence platform that bridges industrial ID and 2D measurement with complex 3D depth perception.

Financial analysts view the transaction as a strategic effort to diversify revenue streams. The robotic perception market is currently valued at $600 million and is projected to reach $1.6 billion by 2030, with an annual growth rate exceeding 25%. RealSense is expected to contribute $80 million to $90 million in revenue during 2026, marking a 50% year-over-year increase. To facilitate the transition, Cognex plans to fund the purchase entirely through existing cash reserves while implementing a $56.5 million retention program for RealSense personnel.

Before the deal is finalized, RealSense will spin off its facial authentication product line into an independent entity, allowing the core team to focus exclusively on industrial robotics. The acquisition remains subject to standard closing conditions, though management expects the business to scale rapidly, contributing to Cognex’s long-term adjusted EBITDA margins and free cash flow.
