Investors who purchased AST SpaceMobile, Inc. securities between March 4, 2025, and July 15, 2026, have until November 13, 2026, to file as lead plaintiffs in a pending class action. The lawsuit claims the company misled shareholders regarding its financial stability and the extent of its capital dilution.

The legal action, filed in the United States District Court for the Western District of Texas, centers on a perceived gap between the company's public projections and its actual fiscal behavior. While AST SpaceMobile touted a financing deal in early 2025 as having "minimal dilution" to shareholders, the complaint alleges the company subsequently executed three separate $1 billion convertible senior note offerings within a nine-month window.

Market confidence wavered following these developments. On July 16, 2026, following the announcement of the third note offering, ASTS shares dropped 17.04%, closing at $55.01. Joseph E. Levi of Levi & Korsinsky, LLP, the firm representing the class, stated that the company had an obligation to disclose known capital risks that contradicted its earlier promises of sufficient funding and durable competitive leads. Analysts, including those at Scotiabank and UBS, had previously raised concerns regarding the company's lack of a retail customer base and the aggressive competition from players like Starlink.
