The lawsuit centers on allegations that Ryde’s financial disclosures failed to warn investors about the risks of a potential market manipulation scheme. According to the complaint, the company’s share price was artificially inflated by coordinated efforts in online forums, where individuals posing as financial advisors directed retail buyers to purchase and hold the stock. The volatility surrounding the listing became evident when Ryde reached a peak of $22.49, only to collapse by approximately 75% on September 11, 2024.

Legal counsel Joseph E. Levi noted that the proceedings allow shareholders to challenge the company's lack of transparency regarding the irregular trading environment. The suit claims that the offering documents omitted warning signs inherent to a low-float foreign micro-cap listing, even as warnings surfaced regarding the stock's pump-and-dump characteristics. Investors who acquired shares during the specified window retain the right to participate in the litigation regardless of their current holdings or country of residence, provided their purchases were made on a U.S. exchange.
