The final results reveal that 8,903,259 shares were tendered during the offer process, representing 71.94% of Nagarro’s share capital. When combined with the 22.10% stake previously acquired from Lantano Beteiligungen GmbH, Persistent Systems comfortably surpassed the initial 50% minimum threshold. The company now intends to transition Nagarro into a private entity, though leadership notes that formal decisions regarding the precise mechanics of the squeeze-out remain pending.
Persistent Systems Secures 94% Majority Stake in Nagarro
Persistent Systems has officially secured a 94.04% stake in Nagarro SE following the conclusion of its voluntary public takeover offer. The acquisition, finalized after an additional acceptance period, positions the India-based firm to initiate a squeeze-out of remaining minority shareholders as it moves to consolidate control.

Sandeep Kalra, CEO of Persistent Systems, described the outcome as a validation of the strategic logic behind the merger, emphasizing the goal to build a dominant global player in AI-led digital engineering. While the path to full integration is clear, the transaction remains subject to a final set of regulatory approvals. The company anticipates completing the takeover by the end of the first quarter of 2027.
