OpenText Initiates $1 Billion Debt Overhaul

OpenText has issued a conditional notice to redeem $1 billion in senior secured notes due in 2027. The company plans to execute this move by October 2, 2026, provided it secures sufficient proceeds from a new debt offering, a maneuver designed to restructure its existing financial obligations under favorable market conditions.

OpenText Initiates $1 Billion Debt Overhaul

The redemption of the 6.900% notes is contingent upon the company successfully raising capital through a new offering of senior secured notes under Rule 144A and Regulation S. If the financing condition is satisfied, the company may also supplement the transaction using cash on hand. The redemption price will be calculated based on the greater of the principal amount or the present value of remaining scheduled payments, discounted at the applicable treasury rate plus 50 basis points.

Should the offering proceed, OpenText intends to allocate the remaining net proceeds toward general corporate purposes, which may include further debt repayment or repurchases. The company emphasized that this announcement does not constitute a formal offer to sell securities, nor does it guarantee the redemption will occur as planned. Obligations under the 2027 notes will be formally extinguished once the redemption date passes and the required payments are processed.
